Terms of Service

The agreement that governs business use of Brisko.

Effective October 18, 2026 Version 2026-10-18

1. Agreement to these Terms

These Terms of Service constitute an agreement between you and Brisko AI, Inc., a Delaware corporation, referred to as “Brisko,” “we,” “us,” or “our.”

These Terms govern your access to and use of Brisko’s websites, applications, inventory-management tools, ordering tools, reporting features, artificial-intelligence features, files, communications, and related products and services collectively referred to as the “Services.”

By creating an account, accepting an invitation, purchasing a subscription, or using the Services, you agree to these Terms. If you use the Services on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

Do not use the Services if you do not agree to these Terms.

2. Business use and eligibility

The Services are designed primarily for businesses, including cafés, coffee shops, bakeries, food-service operators, and their authorized personnel.

You must be at least 18 years old and legally capable of entering into a binding agreement.

You are responsible for ensuring that each person who accesses your organization’s account is authorized to do so and complies with these Terms.

The Services are not directed to children under 13.

3. Brisko accounts

You must provide accurate account information and keep it current.

You are responsible for:

  • Protecting login credentials.
  • Configuring employee access appropriately.
  • Removing access when a person no longer works with your organization.
  • Reviewing activity performed through your account.
  • Informing Brisko promptly of suspected unauthorized access.
  • Maintaining accurate contact and billing information.

Brisko may rely on instructions and activity performed through an authenticated account unless we know or reasonably suspect that the account has been compromised.

4. Organizations, locations, and users

An account may represent one or more business locations.

The account owner or authorized administrator controls:

  • Invitations.
  • Roles.
  • Location assignments.
  • Permissions.
  • Business records.
  • Subscription selections.

The account owner is responsible for determining whether employees, managers, contractors, and other users should have access to particular information or functions.

Additional locations, products, users, storage, AI use, or advanced functionality may require a paid plan.

5. Description of the Services

Brisko may provide tools relating to:

  • Inventory records.
  • Inventory counts.
  • Par and reorder settings.
  • Suggested purchase quantities.
  • Vendor information.
  • Shopping lists and draft orders.
  • Purchase and receipt records.
  • Receiving.
  • Reports.
  • Employee access.
  • Uploaded files, photos, invoices, and receipts.
  • AI-assisted extraction, recognition, recommendations, and summaries.
  • Future operational products.

Features may differ by plan, location, jurisdiction, device, or release stage.

Brisko may add, modify, suspend, or discontinue features. Where reasonably practical, we will provide notice of material changes that substantially reduce paid functionality.

6. Customer data

“Customer Data” means information submitted to, stored in, generated through, or transmitted through the Services by or for your organization.

Customer Data may include:

  • Inventory records.
  • Product and ingredient information.
  • Counts.
  • Vendor records.
  • Purchase records.
  • Receipts and invoices.
  • Images.
  • Uploaded documents.
  • Employee information.
  • Notes.
  • Reports.
  • Business settings.

As between you and Brisko, you retain ownership of your Customer Data.

You grant Brisko a nonexclusive, worldwide, limited license to host, reproduce, process, transmit, display, and otherwise use Customer Data only as reasonably necessary to:

  • Provide the Services.
  • Secure and maintain the Services.
  • Prevent abuse.
  • Comply with law.
  • Support your organization.
  • Improve the Services using aggregated or deidentified information where permitted.

Brisko will not acquire ownership of your underlying business records merely because they are stored in the Services.

7. Your responsibilities for Customer Data

You represent that you have all rights and permissions needed to provide Customer Data to Brisko.

You are responsible for:

  • The legality of Customer Data.
  • Providing required employee or customer notices.
  • Obtaining required consent.
  • Deciding what information is appropriate to upload.
  • Avoiding unnecessary sensitive information.
  • Reviewing access granted to employees and contractors.
  • Keeping independent records where required by law or business practice.

Do not upload Social Security numbers, full payment-card numbers, protected health information, biometric identifiers, government credentials, or other highly sensitive information unless Brisko expressly supports that data type and the parties have agreed to any required additional terms.

8. Inventory and operational records

Brisko helps organize and calculate operational information. Brisko does not physically inspect your business, count your inventory, verify every uploaded record, or control employee actions.

You remain responsible for verifying:

  • On-hand quantities.
  • Count results.
  • Units and conversion factors.
  • Par and target levels.
  • Suggested reorder quantities.
  • Vendor assignments.
  • Pack sizes.
  • Costs.
  • Product substitutions.
  • Purchases.
  • Received quantities.
  • Waste, damage, and adjustments.

Inventory information may be inaccurate because of human error, delayed entries, unrecorded consumption, incorrect units, duplicate records, incomplete imports, failed synchronization, or other causes.

Do not rely on Brisko as the sole control for food safety, regulatory compliance, emergency stock, allergen handling, accounting, tax reporting, or financial controls.

9. Ordering and vendor activity

Unless Brisko expressly states otherwise for a specific integration, Brisko does not place, transmit, accept, fulfill, deliver, or guarantee vendor orders.

Brisko may create:

  • Recommended quantities.
  • Shopping lists.
  • Draft orders.
  • Purchase-order documents.
  • Email-ready content.
  • Vendor-grouped lists.

You are responsible for reviewing and placing purchases.

A status such as “Draft,” “Marked ordered,” or “Complete” represents information recorded in Brisko. It does not independently prove that:

  • A vendor received an order.
  • A vendor accepted an order.
  • Items were reserved.
  • A price was honored.
  • Delivery will occur.
  • An invoice was paid.
  • Goods are accurate, safe, or complete.

Vendor relationships and transactions are solely between you and the applicable vendor unless Brisko expressly agrees otherwise in separate written terms.

10. AI-assisted features

Brisko may use artificial intelligence, machine learning, optical character recognition, computer vision, language models, or similar technologies.

AI-assisted features may:

  • Extract information from files.
  • Recognize products.
  • Suggest categories.
  • Identify possible duplicates.
  • Match receipt lines.
  • Suggest par levels or order quantities.
  • Summarize business activity.
  • Respond conversationally.
  • Recommend actions.

AI outputs may be incomplete, inaccurate, outdated, misleading, or unsuitable for your circumstances.

You must review AI-generated information before applying it to your records or using it for purchases, staffing, pricing, food safety, accounting, or other business decisions.

Brisko does not warrant that an AI output is correct.

Brisko may use different model providers over time. Additional AI terms may apply to particular features.

11. Acceptable use

You may not:

  • Use the Services unlawfully.
  • Upload malicious code.
  • Attempt unauthorized access.
  • Circumvent security or usage limits.
  • Interfere with service operation.
  • Reverse engineer the Services except where law expressly permits it.
  • Use the Services to infringe intellectual-property rights.
  • Impersonate another person or business.
  • Use automated means to overload or scrape the Services.
  • Resell the Services without authorization.
  • Use the Services to develop a directly competing product through unauthorized extraction.
  • Submit content you do not have permission to process.
  • Use AI features to facilitate harmful or unlawful conduct.

Additional rules appear in the Acceptable Use Policy.

12. Fees and subscriptions

Some Services are free, and others require payment.

Paid plans may be billed by:

  • Subscription period.
  • Location.
  • User.
  • Product.
  • Usage.
  • Storage.
  • AI consumption.
  • Another disclosed metric.

You authorize Brisko and its payment processor to charge applicable fees, taxes, and approved usage charges.

Unless otherwise stated:

  • Fees are quoted in U.S. dollars.
  • Subscriptions renew automatically.
  • Cancellation affects future renewal.
  • Previously paid fees are nonrefundable except where required by law or expressly stated.
  • Removing data or users does not automatically cancel a subscription.

Brisko may change prices prospectively after providing notice required by law or the applicable order form.

13. Free plans and trials

Free access and trials may have limits.

Brisko may change or discontinue a free plan, but will not intentionally hold your exportable Customer Data hostage solely because a free plan changes.

Trial access may end automatically.

Features made available for testing may be unfinished and may change without notice.

14. Third-party services

The Services may interoperate with third-party providers such as:

  • Authentication providers.
  • Hosting providers.
  • Payment processors.
  • Email services.
  • AI-model providers.
  • Analytics services.
  • Vendor websites.
  • File-storage providers.

Brisko is not responsible for third-party services, their availability, their data practices, or transactions conducted with them.

Your use of a third-party service may be governed by its own terms.

15. Intellectual property

Brisko and its licensors own the Services, including:

  • Software.
  • Source code.
  • Interfaces.
  • Design systems.
  • Documentation.
  • Branding.
  • Logos.
  • Illustrations.
  • Product names.
  • Non-customer datasets.
  • Underlying technology.

Subject to these Terms, Brisko grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for your internal business operations during the applicable subscription term.

No rights are granted except those expressly stated.

16. Feedback

You may provide suggestions or feedback.

You grant Brisko the right to use feedback without restriction or compensation, provided Brisko does not identify you publicly without permission.

Feedback does not include your confidential Customer Data.

17. Confidentiality

Each party may receive nonpublic information that a reasonable person would understand to be confidential.

The receiving party will:

  • Use confidential information only for the agreement.
  • Protect it using reasonable care.
  • Disclose it only to personnel and service providers who need it and are subject to appropriate duties.
  • Not disclose it except as permitted or legally required.

Confidential information does not include information that is publicly available without breach, independently developed, lawfully received without restriction, or already known without duty.

18. Security

Brisko will use reasonable administrative, technical, and organizational safeguards appropriate to the nature of the Services.

No system is completely secure.

You are responsible for:

  • Device security.
  • Account permissions.
  • Strong authentication.
  • Employee offboarding.
  • Secure exports.
  • Avoiding unsafe uploads.
  • Promptly reporting suspected incidents.

Nothing in these Terms is a guarantee that unauthorized access, data loss, or disruption will never occur.

19. Availability and changes

Brisko aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.

The Services may be unavailable because of:

  • Maintenance.
  • Infrastructure failures.
  • Third-party outages.
  • Security responses.
  • Internet disruptions.
  • Software defects.
  • Events beyond reasonable control.

Brisko may apply limits to protect security, stability, fair use, and system performance.

20. Beta features

Beta, preview, experimental, or early-access features are provided for evaluation.

They may:

  • Contain defects.
  • Change substantially.
  • Be discontinued.
  • Have lower availability.
  • Be excluded from support commitments.

Do not rely on beta features for critical operations without an independent fallback.

21. Suspension

Brisko may suspend access where reasonably necessary to:

  • Prevent harm.
  • Address security risks.
  • Investigate suspected abuse.
  • Comply with law.
  • Address nonpayment.
  • Protect Brisko, users, vendors, or third parties.

Where appropriate, Brisko will provide notice and an opportunity to cure.

22. Termination

You may stop using Brisko at any time. To request subscription cancellation or account closure, contact hello@brisko.ai. Brisko does not currently provide a self-service cancellation control.

Brisko may terminate these Terms for material breach, unlawful use, repeated nonpayment, or serious security risk.

After termination:

  • Your license to use the Services ends.
  • Fees already due remain payable.
  • Brisko may retain information where legally required or reasonably necessary.
  • Export availability may be limited after a disclosed retention period.
  • Provisions intended to survive will remain effective.

23. Data export and deletion

Brisko may provide export tools for supported Customer Data.

You are responsible for exporting information before account closure.

Deletion may not be immediate from:

  • Backups.
  • Security logs.
  • Financial records.
  • Fraud-prevention records.
  • Legal holds.
  • Records required by law.

Brisko may preserve deidentified information that cannot reasonably identify you or your organization.

24. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

BRISKO DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.

BRISKO DOES NOT WARRANT THAT:

  • INVENTORY RECORDS WILL BE ACCURATE.
  • RECOMMENDATIONS WILL BE CORRECT.
  • AN ORDER WILL BE PLACED OR FULFILLED.
  • A VENDOR’S INFORMATION OR PRICING WILL BE CURRENT.
  • REPORTS WILL SATISFY ACCOUNTING OR TAX REQUIREMENTS.
  • AI OUTPUTS WILL BE ACCURATE.
  • THE SERVICES WILL PREVENT LOSS, SHORTAGE, WASTE, THEFT, SPOILAGE, OR BUSINESS INTERRUPTION.

Some jurisdictions do not permit certain disclaimers, so some may not apply to you.

25. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRISKO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES DAMAGES FOR:

  • LOST PROFITS.
  • LOST REVENUE.
  • LOST BUSINESS.
  • BUSINESS INTERRUPTION.
  • LOST OR SPOILED INVENTORY.
  • MISSED PURCHASES.
  • OVERPURCHASING.
  • UNDERPURCHASING.
  • LOST DATA.
  • VENDOR DISPUTES.
  • EMPLOYEE ACTIONS.
  • RELIANCE ON AI OUTPUTS.
  • COST OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRISKO’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF:

  1. THE AMOUNTS YOU PAID TO BRISKO FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY; OR
  2. ONE HUNDRED U.S. DOLLARS IF YOU USED ONLY FREE SERVICES.

These limitations apply regardless of legal theory and even if a remedy fails of its essential purpose.

Nothing excludes liability that cannot lawfully be excluded.

26. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless Brisko and its affiliates, officers, employees, and contractors from third-party claims arising from:

  • Your Customer Data.
  • Your unlawful use of the Services.
  • Your violation of these Terms.
  • Your infringement of another person’s rights.
  • Your organization’s employment or vendor relationships.
  • Business decisions made using your records or AI outputs.

Brisko will provide reasonable notice and cooperation.

You may not settle a claim in a way that admits fault by Brisko or imposes obligations on Brisko without written consent.

27. Governing law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Unless a separate written agreement provides otherwise, disputes must be brought exclusively in the state or federal courts located in Texas, and each party consents to those courts’ jurisdiction and venue.

28. Notices

Brisko may provide notices through:

  • The Services.
  • Email.
  • Account notifications.
  • The website.
  • Another reasonable electronic method.

Legal notices to Brisko must be sent to:

Brisko AI, Inc. hello@brisko.ai

29. Changes to these Terms

Brisko may update these Terms.

For material changes, Brisko will provide reasonable notice and may require renewed acceptance.

The updated Terms apply from the stated effective date.

Your continued use after the effective date constitutes acceptance where permitted by law.

30. General provisions

These Terms and incorporated policies constitute the agreement concerning the Services unless a separate written order form or agreement applies.

If a provision is unenforceable, it will be limited to the minimum extent necessary, and the remaining provisions will continue.

Failure to enforce a provision is not a waiver.

You may not assign these Terms without Brisko’s consent. Brisko may assign them in connection with a merger, acquisition, reorganization, financing, or sale of assets.

Neither party is liable for delay caused by events beyond its reasonable control, except payment obligations.

Headings are for convenience only.
